Resolution 80-409A RESOLUTION OF THE CITY OF LOSGSOOD, FLOAI➢A, APPROOING P E NO. 102, T D TOR�OGIDANR/SE INOLE COUNTY, AND AUTHORIZING T UTION REOF, AND PROVIDLNG FORECERTAIN MATTERS RELATED THERETO, AND FOR AN EFFECTIVE DATE. WHERBAS, the City of Longwood, Florida Longwood has levied, established and filed final assessments foe and installation of water lines, drainage and sewerage lines within .1 Longwood Industrial Park, against the persons and property and in the amounts set forth in tho final assessment ro11 attached hereto as Exhibit A. (The assessments therein provided shall hereinafter be s g.larly and Collectively referred to as "the Assessments"); WHEREAS, the City has rcce — the proposed form of promissory note payable to Com3ank/Seminole County, a copy of which i0 attached hereto as Exhibit B (hereinafter the "PromiOIlly WHEREAS, it is necessary, proper and desirable, and in the interest of its Citizens that tha City execute the Promissory 1 Note, and obtain the proceeds Of the loan represented thereby for use by the City for the lawful purpose of paying the costs of the aforesaid improvement project; NOD, THEREFORE, BE IT RESOLVED BY THE CITY COhLMIESION OF THE CITY OF LONEWOOD, FLORIDA, AS FOLLOWS. 1) The form Of the Promissory Note is hereby approved, and the M,yor and the City Clerk are hereby authorized I. execute the same on behalf of the City If Longwood, Florida, as well as any other documents required in connection therewith, and such note, when executed, will constitute a valid and binding obligation of the City Of Longwood which can lawfully be paid in accordance with its terms. 2) Th. —r—id Resolution No. 395, Resolution No. 402 and Resolvtion No. 400, and the Assessments are in full force and effect, and no proceedings have been brought or threatened to challenge the legality, validity or sufficiency If the same. The unpaid principal balance of each Apse ss —, and date from which interest has accrued thereon, as set forth on Exhibit A, are tt— and correct. The Assessments have been duly recorded in the improvement Lien Book of the City, in accordance with the requirements of 9170.08, Florida Statutes. 3) The Assessments have been prepared and per- fected in full compliance with the provisions of Chapter 170, Florida Statutes, and each If the Assessments is payable and i entitled to the priority and dignity it forth in y170.09, Florida Statutes as a special assessment lien. The payment of all amounts due under the Promissory Note is, and shall be secured by a pledge of and a prior lien upon the gross revenues derived and to be derived by the City from the As —sme — The City hereby irrevocably pledges such funds to the payment of the prin- cipal and interest on the Promissory Note at the times and in the manner prescribed therein. 4) The City covenants that it will protect, uphold, and defend the validity of the Assessments and the legal priority Oh -and status of the liens sec urinq the same against all persons and that, whenever appxcpxiate, it will inrtrate proceed- ings under 5170.14, Florida Statutes, as required to establish and marntain the validity of the Asstssmants and the enforceability of the liens securing payment of the same, in addition to any other and further obligations it may have hereunder or under the Promis- sory Note. 5) The City covenants that it will utilize the proceeds of the loan represented by the Promissory Note only to pay the cost of the improvement project as defined in the said T Resolntion No. 4H, o , if not required for that purpose, to covenants that it will complete the improvement project e peditiously, so that the same shall be formally accepted by the City not later than August 8, 1981, in any event.
