Ordinance 10-1943 ORDINANCE NO. 10 -1943 AN ORDINANCE OF THE CITY OF LONGWOOD, FLORIDA, APPROVAL OF MULTI -YEAR CONTINUING SERVICES CONTRACT WITH SENTRY MANAGED SERVICES PREPARED OR CONFSLIC NETWORKED CONFLICTS AN PR ERABILITY AND AN EFFECTIVE DATE. Whereas, the City of Longwood desires utilizing a continuing services contract g agreement to provide eefor advanced technology management and monitoring portions of the Information provided the Presidio Networked Solutions Agreement, and Whereas, the Charter for the City of Longwood, Florida provides that contracts that extend beyond the current fiscal year must be approved by Ordinance, Whereas, the provision of continuing services for the outlined professional disciplines is in the public interest to provide quality service; NOW, THEREFORE, BE IT ORDAINED BY THE CITY COMMISSION OF THE CITY OF LONGWOOD, FLORIDA, AS FOLLOWS: Section 1: Cost analysis was performed as required under Florida State Procurement Rules and Regulations, Section 2: Presidio Networked Solutions contract is administered as part of the State of Florida approved vendor contract with Cisco, Contract Numbers 250 - 000 -09 - and F5816676550 Section 3: The Information Technology Division has provided for and network security operations, f Longwood through Presidio's Sentry Managed Services address data enter Section 4: The Information Technology Division through Presidio has provided for cost effectiveness; continued software support; improved performance; and enhanced" network protection for the City of Longwood, Florida, Section 5: The City Commission hereby approves the contract with Sentry Managed Services attached hereto and authorizes its execution. Section 6: If any Ordinance or part thereof is in conflict herewith, this Ordinance shall control to the extent of the conflict. Section 7: It is a express contingency of the City Conunission's approval and the City's execution of the agreement, that the City's payment and performance obligations under the agreement for each and every fiscal period beyond the fiscal period when the agreement is executed shall be subject to discretionary annual appropriation by the City Commission of funds therefore. When funds are not appropriated or otherwise made available to support the continuation of payment and performance in a subsequent fiscal period, the agreement shall be deemed terminated on the last day of the fiscal period for which appropriations were made, without further cost, penalty or obligation to the City. Section 8: The provisions of this Ordinance are declared to be separable and if any section, paragraph, sentence or word of this Ordinance or the application thereto any person or circumstance is held invalid, that invalidity shall not affect other sections or words or applications of this Ordinance. If any part of this Ordinance is found to be preempted or otherwise superseded, the remainder shall nevertheless be given full force and effect to the extent permitted by the severance of such preempted or superseded part. Section 9: This Ordinance shall be in force and take effect immediately upon complete execution of the Contracts. Presidio employs a VPN router and a server platform deployed to the main customer data center to monitor all covered devices. This provides a secure access method to Sentry Managed Services customer networks. This access model also allows Presidio to minimize utilization of customer WAN bandwidth by ensuring that polling of customer devices and receipt of syslog and SNMP trap data is contained to the customer LAN. Therefore, WAN traffic is reduced only to traffic caused by exceptions detected by the deployed Sentry management appliance, operator troubleshooting or customer reporting. Please note that with Sentry Managed Services, the customer retains full access and rights to its network. The City Attorney did not see language in the contract addressing non - appropriation per City Code Section 62 -72. We engaged the vendor and they added a non - appropriation clause to their contract. The clause can be found in Section 25 of the contract. 2. The City Attorney had an issue with Section 18 of the contract. The section was an indemnification clause that required the City to indemnify Presidio Networked Solutions and did not provide for a limitation of that indemnification to the sovereign immunity limits. We engaged the vendor and they struck Section 18 from the contract in its entirety.
