A RESOLUTION OF THE CITY OF LONGWOOD, FLORIDA, AMENDING CHAPTER 2,
SECTION A OF THE CITY OF LONGWOOD PURCHASING POLICIES AND
PROCEDURES MANUAL REGARDING GENERAL PROCUREMENT POLICIES;
PROVIDING FOR THE PROHIBITION OF THE CITY ENTERING INTO AUTOMATIC
RENEWAL CONTRACTS OR AGREEMENTS IN THE ABSENCE OF APPLICABLE
PRICING TERMS OR GUARANTEES REGARDING APPLICABLE PRICING MADE
AVAILABLE TO THE CITY AT THE TIME OF SUCH RENEWAL; PROVIDING FOR
CONFLICTS, CODIFICATION, SEVERABILITY, AND AN EFFECTIVE DATE.
WHEREAS, the City of Longwood ("City") adopted the City of Longwood Purchasing
Policies and Procedures Manual pursuant to Ordinance No. 19-2166; and
WHEREAS, the City may amend the Longwood Purchasing Policies and Procedures
Manual from time to time by ordinance or resolution; and
WHEREAS, the City desires to amend the Longwood Purchasing Policies and Procedures
Manual to provide an express prohibition of the City entering into automatic renewal contracts
or agreements where such contracts or agreements do not contain applicable pricing terms or
guarantees regarding applicable pricing made available to the City at the time of such renewal;
and
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF
LONGWOOD, FLORIDA:
Section 1. Legislative Findings and Purposes.
The preceding recitals are hereby adopted as the legislative findings of the City
Commission of the City of Longwood and are incorporated into this Resolution as if set forth
herein.
Section 2. Amendment to Longwood Purchasing Policies and Procedures Manual.
Chapter 2, Section A of the Longwood Purchasing Policies and Procedures Manual is
hereby amended to read as follows (underlined language is added; StF;ekeR thr,+ language is
deleted; provisions not included are not being amended):

A. The following polices shall govern the procurement of good and services for the City in
accordance with the existing Purchasing Ordinance:
7. The City shall not enter into any contract or agreement containing an automatic renewal
provision or that automatically renews, where at the time of such renewal, the contract or
agreement fails to contain pricing terms or guarantees relating to pricing that will apply for the
renewal period. The City shall provide a notice in its procurement or letting documents that
notifies potential bidders, proposers, or vendors that the City will not accept any submissions in
contravention of this section. Additionally, submissions in contravention of this section shall be
deemed non -responsive and rejected from further consideration. Notwithstanding the
preceding, in the event the City fails to place this prohibition in any procurement or letting
documents, then all potential bidders, proposers, or vendors are on notice that the prohibition
shall still constitute valid grounds for declaring any submissions non -responsive and rejected
from further consideration. Further, in the event the City enters a contract or agreement in
contravention of this section, the City shall have the right to terminate such contract or
agreement prior to contract renewal or extension.
Section 3. Severability.
If any section, subsection, sentence, clause, phrase, or potion of this Resolution, or
application hereof, is for any reason held invalid or unconstitutional by any court of competent
jurisdiction, such portion or application shall be deemed a separate, distinct, and independent
provision and such holding shall not affect the validity of the remaining portion thereof to the
extent practicable.
Section 4. Conflicts.
To the extent this Resolution or any provisions thereof conflict with any previously
enacted Resolution of the City of Longwood, then this Resolution shall control only to the extent
any such conflict(s) exists.
Section S. Codification.
This Resolution shall be incorporated into and made a part of the Longwood Purchasing
Policies and Procedures Manual and such provisions may be renumbered or relettered to
accomplish such intention, and the word "Resolution," or similar words may be changed to
"Section," "Article," or other appropriate word. The City Clerk is granted liberal authority to
incorporate the provisions of this Resolution as contemplated herein and to correct typographical
errors.

This Resolution shall take effect immediately upon adoption.
